These Subscription and Billing Terms apply to Kelevo TMS trials, paid subscriptions, invoices, renewals, taxes, payment methods, Stripe Checkout, Stripe Billing Portal, and related billing features. They supplement the Terms of Service.
1. Carrier Plan
The launch paid plan is the Kelevo TMS Carrier plan. The Carrier plan is designed for small carriers and dispatch operations and includes access to Kelevo TMS features available at launch, subject to product availability, user roles, entitlements, and plan limits.
- Monthly price: $49 per month, plus applicable taxes.
- Annual price: $490 per year, plus applicable taxes.
- Annual billing gives two months off compared with monthly billing.
- Founding carriers accepted into the limited early-partner program lock a $29 per month ($290 per year) founding rate for the life of their subscription.
- Truck limit: up to 10 trucks.
- Users: unlimited non-driver business users within the organization.
- Included settlement workflow: owner-operator settlement statements, subject to product limits and these terms.
Kelevo TMS may add, remove, or change plan names, features, quotas, usage limits, and prices over time. Price changes for an active paid subscription will not apply until the next renewal or another effective date stated in the notice.
2. Free Trial
Kelevo TMS may offer a 14-day no-card trial. No payment card is required to start the trial. The trial gives access to the Carrier plan feature set during the trial period. At the end of the trial, access may move to a read-only or limited floor until Customer starts a paid subscription.
Because no card is collected at trial signup, Kelevo TMS does not automatically charge a user solely because the no-card trial expires. A paid subscription starts only when Customer completes Checkout, provides required billing information, and authorizes payment.
3. Checkout, Consent, And Authorization
Paid subscriptions are started through Stripe Checkout or another Kelevo TMS-approved billing flow. Before completing payment, Customer will be shown the plan, price, billing interval, applicable taxes or tax calculation, renewal terms, and payment method requirements.
By completing Checkout, Customer authorizes Kelevo TMS and Stripe to charge the payment method for subscription fees, applicable taxes, renewals, failed-payment retries, and other amounts owed under the subscription. Customer also agrees that the subscription renews automatically until canceled.
4. Automatic Renewal
Paid subscriptions automatically renew unless canceled before the renewal date. Monthly subscriptions renew monthly. Annual subscriptions renew annually. Renewal charges are billed to the payment method on file unless the subscription is canceled, expires, or is otherwise terminated.
Kelevo TMS will provide subscription acknowledgments, invoices, receipts, renewal information, cancellation access, and material billing notices through Stripe, email, the application, or another reasonable method. Annual subscriptions may receive renewal reminders before renewal where required or operationally supported.
5. Taxes
Prices do not include sales tax, use tax, VAT, GST, excise tax, or other transaction taxes unless expressly stated. Kelevo TMS may calculate and collect taxes where legally required or where it has an active tax registration. Customer is responsible for providing accurate billing address, tax location, tax exemption, and tax identification information.
Stripe Tax may calculate taxes in Checkout based on Customer's address and Kelevo TMS tax settings. Stripe Tax does not determine all legal obligations for Kelevo TMS and does not make Customer's tax information accurate. If tax was not collected and is later determined to be due, Customer remains responsible for any taxes, penalties, or amounts required by law unless prohibited by applicable law.
6. Billing Address Collection
Kelevo TMS requires a billing address during paid Checkout so taxes, invoices, receipts, fraud checks, and billing records can be handled correctly. Existing billing information may be updated through Stripe Checkout, the Stripe Billing Portal, or another supported flow.
7. Failed Payments And Past-Due Accounts
If a payment fails, Stripe or Kelevo TMS may retry the payment, send payment notices, request a new payment method, mark the subscription past due, suspend paid features, downgrade access to a limited or read-only state, or cancel the subscription. Customer remains responsible for unpaid fees and applicable taxes.
8. Plan Limits And Usage
Customer must stay within the Carrier plan limits, including the 10-truck cap. Kelevo TMS may prevent creation of additional trucks, restrict usage, require an upgrade, or apply other plan controls when a limit is reached. Users must not attempt to bypass plan limits by creating duplicate organizations, accounts, or records.
9. Subscription Management
Customer may manage payment method, invoices, billing address, and cancellation through the Stripe Billing Portal or the billing page in Kelevo TMS when available. Some changes may take effect immediately; others may take effect at the end of the current billing period or at renewal.
10. Price And Terms Changes
Kelevo TMS may change subscription prices, taxes, features, plan limits, or billing terms. For active paid subscriptions, material changes will be disclosed before they take effect, through email, in-app notice, billing notice, Stripe-hosted notice, or another reasonable method. If Customer does not agree to a change, Customer must cancel before the change takes effect.
11. Refunds And Cancellation
Cancellations, non-refundability, billing-period access, erroneous charges, duplicate charges, chargebacks, and refund processing are governed by theRefund and Cancellation Policy.
